1. a) The Client shall pay fees to the Company in respect of each Consultant or Permanent Placement provided. b) Billing for contract staff will be weekly in arrears, against timesheets. c)The Company reserves the right to charge interest on overdue amounts at the rate of 1.5% per calendar month. d) The Client agrees to reimburse the Company for relevant expenses incurred in providing each Consultant or Permanent Placement.

2. a) The Company will provide Consultants and Permanent Placements suited to the Client's requirements. b) All rights of supervision, direction and control rest with the Client throughout the period of the Agreement. c) If for unforeseen reasons any Consultant or Permanent Placement becomes unavailable, the Company reserves the right to substitute that Placement. d) The Client shall make all payments of whatever nature directly to the Company, under non-disclosure.

3. a) Either party may terminate this Agreement by giving to the other the Notice. b) Notwithstanding the foregoing, either party may, by notice to the other party in writing, forthwith terminate this Agreement.
i) The other party shall commit any material breach of the Agreement; or
ii) The other party shall cease trading, go into receivership or file bankruptcy action.

4. The Client shall not assign its rights or duties under this Agreement without the prior written consent of the Company.

5. a) While the Company will exercise due diligence in placing Consultants and Permanent Placements so as to satisfy the Client's requirements, the Company shall have no liability for any loss, damage, expense or delay arising from any failure to provide Consultants and Permanent Placements during the Agreement or from any negligence, dishonesty, misconduct or incompetence on the part of any Consultants and Permanent Placements while under the Client's control. b) The Client shall fully indemnify the Company against any claims or proceedings brought against the Company or any losses suffered by the Company in respect of any injury loss or damage suffered by or occasioned to any Consultants or Permanent Placements provided to the Client caused directly or indirectly on the part of the Client.

6. If the Client, its associated companies or subsidiaries, directly or indirectly engages or employs any Consultant or Permanent Placement within 12 months of introduction, or during the term of this Agreement or within 12 months of its termination, the Client shall pay to the Company an introductory fee of 20% of the annual fee or salary of the Temporary Personnel Member plus VAT within 4 weeks of the engagement or employment.

7. All payments by the Client under or in relation to this Agreement shall be made without any deduction.

8. Any formal communication or notice in connection with this Agreement must be in writing and may be given in person or by post.

9. This Agreement shall be governed and construed in accordance with Thai Law and the Thai Courts shall have exclusive jurisdiction.
